Valuation

Our valuation services involve the act or process of developing an opinion on the value of a business or its shares, through the use of various valuation methodologies.  Our clients typically require our valuation services in transactions such as divestment, mergers and acquisitions, initial public offering, management buy-outs and tender offers.

Financial Due Diligence (in coordination with the Audit & Assurance Division)

In assessing any acquisition or investment opportunity, it is the responsibility of the purchaser or investor to ensure that the purchase or investment decision is taken after considering all relevant financial facts and assessing the financial risks associated with the opportunity.  Through our conduct of financial due diligence on the investment target, we assist our clients in the assessment of such relevant financial facts and risks.

Review of Financial Forecast

We check the reasonableness of the assumptions used in the financial forecast prepared by our clients through our analysis of the accounts and the market environment.   Our review as an independent party is typically required by the target audience of the said forecast (e.g., banks, acquiring companies, the Securities and Exchange Commission, etc.).

Financial Modelling

Sometimes our clients need to translate their or their target’s future plans into a financial model so they can assess the effects of changes in critical variables that may be related to a contemplated transaction.  We assist in designing the financial model and in the conduct of sensitivity and scenario analyses to enable our clients to make informed decisions about an opportunity.  

Market and Financial Feasibility Review

We assist our clients in evaluating the viability of their contemplated projects through the conduct of market research and financial analyses.  In these engagements, financial feasibility measures such as the internal rate of return (IRR), net present value (NPV) and payback period are computed.

Pre-IPO (Initial Public Offering) Support

We assist our clients in determining all pre-IPO steps that need to be undertaken to ensure a successful and well-subscribed IPO transaction.  Such steps may include the selection of the appropriate IPO vehicle for our clients and the initial valuation of the shares of stock of the Issuer.  We also assist our client in the selection of the legal advisor/s and underwriter/s for the IPO process.

Bid and Post-Deal Support

We assist in providing the necessary support in bids for non-performing assets of both public and private entities.  We have assisted clients in their bids for banks’ non-performing loans.  We have also been the lead advisor in the bid and post-deal stages of a government corporation’s disposal of mortgages which had been dubbed as the largest ever corporate finance deal in the Philippines. 

Review of Business and Rehabilitation Plans

Sometimes, our clients are required to present a third-party review of their business plans or, for those under receivership, their rehabilitation plans.  Our review report is typically presented to the management of our client companies, receiv ers, gove rnment regulatory bodies or the courts. 

Public Sector Services

We take part in consulting engagements for government entities and international organizations or funding agencies.  Such engagements typically cover a wide range of services so we usually work with other consultants.  We focus primarily on the conduct of market, economic, operational and financial analyses for these types of engagements.
