April 14 deadline for submission of AFS to SEC/PSE

April 14 deadline for submission of AFS to SEC and PSE

This is a reminder for listed companies whose fiscal year ended December 31, 2007.

April 14 is your deadline for submission of copies of your Audited Financial Statements (AFS) to the Securities and Exchange Commission (SEC) and the Philippine Stock Exchange (PSE).   This deadline is the 105th day counted from the end of the fiscal year.  The AFS should be stamped "Received" by BIR.

The same deadline applies to the AFS of other corporations whose securities are registered under the Revised Securities Act or Securities Regulation Code.

Should the company expect that it cannot meet the April 14 deadline, it can request for extension by applying Form 17-L with the SEC/PSE on or before the deadline which should be on April 11 (Friday) inasmuch as April 13 (the day before the deadline) falls on a Sunday.  Extension can be granted up to April 29.

For other companies whose AFS are due 120 days from the end of the fiscal year, the deadline is April 29, 2008.

The BIR deadline for filing of the income tax returns and AFS and payment of the tax remains to be April 15 (Wednesday).
